ERMS AND CONDITIONS Of THE VEBLEN DIRECTOR PROGRAMME

Welcome to the Terms and Conditions applicable to the online Veblen Director Programme.

Please ensure that you read these Terms and Conditions carefully and make sure You understand them before accepting Our offer and enrolling with Us. These Terms and Conditions form the agreement between You and Us (as hereinafter defined) which will become binding upon your confirmation of Your acceptance of the Terms and Conditions by making a payment to enrol with Us.

In these terms and Conditions,

    • “We”, “Us”, “Our” or “Veblen” refers to Veblen Director Programme – FZCO, a company registered under the laws of the Dubai, United Arab Emirates with company number DSO–FZCO–33282 and having its registered office at IFZA Business Park, Dubai Digital Park, Building A1, Dubai Silicon Oasis, Dubai, United Arab Emirates. Veblen is the provider of the Veblen Director Programme; and
    • “You” or “Your” refers to you, the participant to the Programme (as hereinafter defined).

 

  1. Programme Description

The Veblen Director Programme (the “Programme”) is a thirty six (36)-month membership minimum offered by Veblen to prepare You and other participants for board director role.

During Your participation to the Programme You will learn about the directors’ duties and responsibilities and get familiar with the work done by and expected from directors, including by directors on the board of listed companies.

The Programme may include, without limitation, any or all of the following:

      • Education on securing board seats;
      • Guaranteed offer of your first board seat opportunity within 30 days of joining the community, or a full refund
      • Participation in an accountability group to help You focus on key objectives that will secure You a board position
      • An EZ Media Package designed to launch your profile as a prospective board member to a global audience;
      • Variety of monthly leadership coaching sessions, offered by leading experts;
      • Participation in monthly “Ask Me Anything” Sessions;
      • Access to a community of like-minded professionals;
      • Access to all BOD and BOA opportunities that we advertise internally
      • Free membership to another programme for investment training;
      • A book to help kickstart Your journey; and
      • Free access to selected online events.

The Programme is continuously being reviewed and updated to ensure that The Programme remains current and relevant. We only make changes where We consider it necessary to do so and/or where We feel that some changes are in the best interest of the participants.

The Programme includes access to proprietary intellectual property and access to an exclusive community. Therefore, once You have been given access to proprietary intellectual property and granted access to the exclusive community, no refund will be made under any circumstances beyond the 30-Day Guarantee Offer.

The success of the Programme relies on Your active participation.

By enrolling in the Programme, You accept these Terms and Conditions in full.

  1. Fees and Payment Terms

2.1 To join the Programme, you agree to pay the Programme fees of USD 5,999 (1st option) or USD 3 x 2199 in full prior to joining the Programme as follows:

    • 1st option: A one-time joining fee of USD 5,999 must be paid upon joining the Programme. You will benefit from three (3) years of membership following payment of the one-time joining fee; and
    • 2nd option: Three partial payments of USD 2,199 must be paid over three consecutive months. You will benefit from three (3) years of membership, commencing on the date of the first payment. No cancellations are allowed and you are fully liable for the total amount of USD 6,597 joining fee.

2.2 If you are unable to pay the joining fee and subsequent monthly fees in full in advance, please contact Us info@veblendirectors.com to discuss, without any guarantee whatsoever from Veblen, Your situation.

Admission to the Programme is dependent on the joining-fee having been received by Us in full. Fees will be non-refundable for any reasons whatsoever. We reserve the right to suspend Your access to the Programme in case of delay and/or non-payment of any fees due under the Programme.

  1. Duration of the Programme

The agreement between You and Veblen starts on the 1st day of enrolment, following receipt of Your payment. The initial term lasts thirty six (36) months and will continue unless terminated by You with a thirty (30)-day written notice before the date You intend to terminate the agreement.

Cancellation & Renewal: After the initial 36-month term, your membership will automatically renew on a month-to-month basis for USD150 p/m, using your registered credit card on file. Post the initial term, you may cancel your membership in writing, giving 30 days notice via info@veblendirectors.com and accounts@financialmedia.group.

We reserve the right to terminate this Agreement in the event You fail to pay any of the fees due by You under this agreement by the due date and/or in the event You do not respect any of the other terms of this agreement. Any fees, expenses, without limitation, incurred by Us to recover unpaid fees by You or to ensure the respect by You of the other terms of the agreement shall be borne by You.

  1. Limitation of Liability

We provide tools and training to support Your journey to securing board seats. While the Program strives to support Veblen candidates in securing paying board seats, success ultimately depends on You and Your application to enrol of the provided knowledge and tools. However, We do not guarantee or warranty regarding your success with your board seat search, placements, return on investment and/or financial returns, or specific outcomes.

We guarantee that within 30 days of joining the community, You will be presented with at least one bona fide advisory board seat opportunity. For the purposes of this guarantee, an advisory board seat opportunity means an opportunity identified and presented by Us for You to be considered for an advisory board role with a specific company or organisation. This guarantee is fulfilled once that opportunity has been presented to You, regardless of whether You accept, reject, pursue, or ultimately obtain the role. If We do not present such an opportunity within 30 days, You may request a full refund. No refund requests will be accepted beyond the first 30 Day Guarantee.

  1. Intellectual Property & Confidentiality

All materials and other tools provided during the Programme are the sole property of Veblen. You acknowledge and agree as follows:

    • Use these materials solely for personal education and training; and
    • Not reproduce, distribute or share any proprietary content.

Any use of the materials or content of the Programme not permitted under these Terms and Conditions is prohibited and any will infringe Veblen’s intellectual property rights.

You shall keep all Programme materials and discussions, confidential and refrain from them with any third party.

  1. Communication

Please provide Us with a valid personal e-mail address and mobile numbers before commencing the Programme so that We can communicate with You at all times. Please also advise of any changes to Your contact details as soon as they occur.

  1. Data Protection

Any information provided to Us may be held on computer and shall only be used by the Veblen Director Programme as permitted under any applicable data protection legislation. Your information will be held and processed for the purpose of administering Your application to enrol.

With Your consent or where a legitimate interest, We may also disclose appropriate personal data or sensitive personal data to relevant third parties outside of the Veblen Director Programme including, but not limited to, an external debt collection agency during or after Your period of study.

We will not disclose information about You to any other third parties without Your permission unless there are exceptional circumstances, for example when the health and safety of You or others is at risk or where the law requires information to be shared. Throughout We will always comply with Our obligations under all applicable data protection legislation.

  1. Variation

These Terms and Conditions will apply to You from the date on which You request Your enrolment by completed the application to enrol in the Veblen Director Programme and for the duration of one (1) year from the date of Your enrolment. No variation to these Terms and Conditions shall be made within one (1) year of the date of Your enrolment unless it is in Your favour or is with Your consent. After the one (1) year period from the date of Your application to enrol, We reserve the right to amend these Terms and Conditions.

  1. Governing Law & Arbitration

This agreement shall be governed by and construed in accordance with the laws of Singapore, and any dispute arising out of or in connection with this agreement shall be resolved through arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre.

  1. Acknowledgement and agreement to the T&Cs

By making a payment to enrol, You confirm that You understand and fully accept these terms and conditions.
